The Sponsor/Vendor hereby agrees to indemnify, defend, and hold Pacific Ukrainian Society, Honorary Consulate of Ukraine in Seattle, NW Ukrainian International Festival and the City of Bellevue harmless from and against any and all claims, liabilities, losses, damages, costs, expenses (including attorney’s fees), judgments, and penalties arising out of (i) any third party claims concerning alleged defective products or merchandise manufactured, distributed, and/or sold by the Sponsor/Vendor; (ii) any act or omission to act of Sponsor/Vendor, its employees, servants, and agents. In addition, Pacific Ukrainian Society, Honorary Consulate of Ukraine in Seattle and NW Ukrainian International Festival hereby agree to indemnify and hold Sponsor/Vendor harmless from any and all claims, liabilities, losses, damages, costs, expenses (including attorney’s fees), judgments, and penalties arising out of this Agreement, to the extent caused by any negligent act or omission of Pacific Ukrainian Society, Honorary Consulate of Ukraine in Seattle, NW Ukrainian International Festival, its employees, servants, and agents. Sponsor/Vendor understands Pacific Ukrainian Society and NW Ukrainian International Festival reserve the right to remove any works that it deems inappropriate to the Festival. The Sponsor/Vendor acknowledges failure to comply with the standards of being “suitable for all ages” may result in removal from the Festival and jeopardize participation in future Festivals. The Sponsor/Vendor understands that there are no refunds or rain checks due to inclement weather. The Sponsor/Vendor agrees to allow Pacific Ukrainian Society and NW Ukrainian International Festival use of enclosed promotional materials, as well as photographs and videos taken during the 2022 NW Ukrainian International Festival, for purposes of promoting the Festival this year and in future years.

To the extent allowed by law, in consideration of Sponsor/Vendor being allowed to use City of Bellevue facilities and/or participate in City-sponsored activities, Sponsor/Vendor assumes all risks, including risk of injury or death, associated with Sponsor/Vendor’s use of said facilities and/or participation in said promotional materials, as well as photographs and videos taken during the 2022 NW Ukrainian International Festival.
